Efficiency in Board of Directors Documents

If documents for directors are difficult to locate or a mess directors are less likely to arrive to meetings with a plan to discuss strategies and take decisive action. This is especially true when the meeting agenda is not available in time or if any changes aren’t communicated in real time to the entire board. This can result in confusion over the “right version” to review.

It’s difficult for boards to supervise and monitor the company’s operations if they don’t have adequate information and don’t have enough director discussions between board meetings. Board meetings with undefined agenda items, lack of background on strategic issues or too much irrelevant discussion can make it difficult for the chair to get the meeting moving.

Boards are essential as stewards for their businesses, and have a major impact on the performance of the business. Ineffective boards can be toxic. A dysfunctional board might be characterized by unruly members who are unable to comprehend complex issues, or discussions diverge from the topic. And, even more troubling than that, it may have members who are silent or MIA.

Boards are complex organisations and their success is contingent on the participation of a variety of people who bring different perspectives experience, knowledge, and skill sets to the table. A lot of boards have committees for audit, compensation and governance and financial risks regulated by the services. Some even have ad hoc committees to help them address the more urgent, shorter-term issues.
